IdealistMode Terms of Service

1. Description of Service

IdealistMode is an AI-powered software-as-a-service platform for startup idea validation and strategic planning. The Service allows users to input their startup ideas and receive generated reports, analyses, and strategic guidance. All idea submissions and AI-generated reports are kept private for your personal use and are not shared or published by us without your consent. The Service is offered on a subscription basis to individual end users (B2C), and is accessible worldwide.

2. Eligibility and Accounts

Minimum Age: You must be 18 years old or older to use the Service. The Service is not intended for minors or anyone under the age of 18. By registering an account or using the Service, you affirm that you are at least 18 years of age. We do not knowingly permit minors to use IdealistMode.

Account Registration: To access certain features, you may need to create an account with a valid email address and provide accurate, complete information. You agree to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at our support contact if you suspect any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms or are suspected of unauthorized use.

3. User Content and Intellectual Property

Your Content: 'User Content' includes the startup ideas, text inputs, business plans, or other materials you submit to the Service, as well as the AI-generated outputs (reports and analyses) you receive. You retain ownership of all User Content that you submit to IdealistMode. We do not claim any ownership rights in your ideas or the content of your reports. By submitting content, you grant us a limited, non-exclusive, royalty-free, worldwide license to use, copy, and process your content solely for the purpose of providing and improving the Service (for example, to feed your prompt into our AI models and return results to you). This license allows us to operate the AI features and is not a license for us to publicly use or disclose your ideas.

Privacy and Confidentiality: We understand that your startup ideas may be sensitive. We will not disclose your User Content to other users or the public, and we will not use your ideas or generated reports for any purpose other than delivering the Service to you. All User Content is treated as confidential in accordance with our Privacy Policy.

Your Responsibilities for Content: You represent and warrant that you have the necessary rights to any content you submit and that such content does not infringe or violate the rights of any third party or any laws. You agree not to submit content that is illegal, defamatory, obscene, or otherwise objectionable. We are not responsible for monitoring user submissions, but we reserve the right to remove or disable access to any content that violates these Terms or applicable law.

Our Intellectual Property: Except for your User Content, all materials and content provided as part of the Service (including software, algorithms, website design, logos, and trademarks) are owned by IdealistMode or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service and its content for your personal, lawful use, in accordance with these Terms. You may not copy, distribute, modify, or create derivative works of our content without our prior written permission. All rights not expressly granted to you are reserved by us.

4. Subscription Plans and Payment Terms

Subscription Service: IdealistMode is offered on a subscription basis. By subscribing, you agree to pay any applicable subscription fees and charges. Pricing and plan details are described on our website or in the app interface. All fees are stated in the indicated currency and are exclusive of any taxes (unless stated otherwise). You authorize us (or our payment processor) to automatically charge the subscription fee to your chosen payment method on a recurring basis (e.g. monthly or annually, depending on your plan).

Payment Processor: Payments are processed securely via Paddle, our authorized payment reseller. This means Paddle, Inc. (or its affiliates) will handle the transaction, including any credit card processing and billing. When you make a purchase, you may be redirected to Paddle's checkout, and your payment details will be collected and processed by Paddle in accordance with their terms. We do not directly collect or store your full payment card information. Paddle will provide us with your name, email, billing address, and confirmation of payment so that we can activate your subscription. Note: Charges on your bank or card statement may appear under Paddle's name (e.g., 'PADDLE.NET* IdealistMode') as Paddle is the merchant of record for our sales.

Taxes: Depending on your billing address, additional taxes or VAT may be charged. You are responsible for any taxes or duties applicable to your purchase, other than taxes on our income. Any such taxes will be indicated at checkout or on your invoice, as required.

Free Trials: If we offer a free trial, it will be subject to these Terms. We will notify you of the trial period duration. If you do not cancel before the trial ends, your subscription may automatically convert to a paid plan and your payment method will be charged.

Auto-Renewal and Cancellation: Subscriptions automatically renew at the end of each billing cycle (monthly, yearly, or as specified) unless you cancel beforehand. You may cancel your subscription at any time through your account settings or by contacting our support. If you cancel, you will continue to have access to the paid features until the end of your current paid term, but no further payments will be charged thereafter. To avoid being charged for the next term, you must cancel before the renewal date.

Refund Policy: All subscription fees are non-refundable by default, except as required by law or explicitly provided in these Terms. This means that if you cancel in the middle of a billing period, you will not receive a pro-rated refund for the remaining time. However, we want you to be satisfied with our Service. If you are a new user and IdealistMode does not meet your expectations, you may request a refund of your initial subscription fee within 14 days of purchase. We will review refund requests on a case-by-case basis. Please note that excessive or repeated refund requests may result in denial of service.

EU Consumer Rights: If you are a consumer in the European Union, you have a legal right to withdraw from an online contract within 14 days of purchase without giving any reason. By starting to use the Service immediately after purchase, you expressly request and consent to immediate provision of the digital service and acknowledge that this will result in the loss of your right of withdrawal once the service has been fully performed or significantly used. We will still honor the 14-day refund period for new subscribers as described above, but once you have begun using IdealistMode's paid features (e.g. generating reports), you may lose the statutory right to cancel. This does not affect any rights you have under law for refunds related to defective services or other legal claims.

5. Acceptable Use and Restrictions

When using IdealistMode, you agree to comply with the following usage rules and restrictions. These rules are designed to ensure a safe, legal, and fair use of our Service for all users.

Lawful Purposes Only: You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use IdealistMode in any way that violates any applicable law or regulation (including intellectual property, privacy, export control, and other laws).

No Unauthorized or Harmful Use: You must not use the Service to create, transmit, or store any content that is illegal, infringing, harmful, offensive, or objectionable. This includes content that is defamatory, abusive, harassing, hateful, or that promotes illegal activities. You also agree not to attempt to gain unauthorized access to any systems or accounts related to the Service, and not to interfere with or disrupt the integrity or performance of our systems or networks (for example, by transmitting malware, viruses, or using automated scripts to scrape or overload the Service).

No Reverse Engineering: You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any part of the Service. Similarly, you agree not to modify, adapt, or hack the Service, or attempt to bypass or breach any security device or protection used by the Service.

No Resale or Misuse: The Service is provided for your personal and internal business use. You agree not to reproduce, duplicate, copy, sell, trade, resell, or exploit any portion of the Service without our express prior written permission. This means you cannot use the outputs of IdealistMode in a competing service or redistribute our platform to third parties. You also agree not to use the Service in a manner that could harm or impair anyone else's use or experience.

User Cooperation: You agree to use the Service in a considerate manner. This includes respecting any usage limits (for example, on the number of ideas or reports generated per day) and not attempting to circumvent those limits. If the Service includes community features or communication channels, you agree to be respectful and not engage in spamming, phishing, or other abusive behavior toward others.

We reserve the right to investigate and take appropriate action (including suspension or termination of accounts) for violations of this Acceptable Use section. If you witness any misuse of the Service or have security concerns, please contact us.

6. Third-Party Services

IdealistMode integrates with or uses several third-party services to operate effectively. By using our Service, you acknowledge and agree to the involvement of these third parties, and that your data may be shared with them as necessary to provide the Service (as detailed in our Privacy Policy).

Payment Processing - Paddle: We use Paddle as our third-party payment processor and merchant-of-record for all subscription transactions. When you make a payment, you are subject to Paddle's terms and policies. Paddle's privacy policy governs the handling of your payment information (available on Paddle's official website). We have a contractual relationship with Paddle to ensure your payment data is protected.

Analytics - Google Analytics: We use Google Analytics (in a privacy-friendly, cookieless mode) to collect anonymous usage data about how users interact with our website. This helps us understand traffic and improve the Service. Google Analytics may collect information such as your IP address (anonymized), device/browser information, and pages visited, but in our configuration it does not use browser cookies or track you across sites. Data collected by Google Analytics is subject to Google's Privacy Policy. We do not use Google Analytics for advertising or share any personally identifiable information with it. You can opt-out of Google Analytics by using a browser opt-out extension if you wish.

AI Providers - Perplexity and Gemini: IdealistMode leverages external AI platforms to generate the idea validation reports and content. Specifically, we send your idea prompts to Perplexity AI (operated by Perplexity) and Gemini (an AI service by Google Cloud) to process and generate the responses. These third-party AI APIs will receive the text of your queries and return AI-generated output. Data Handling by AI APIs: According to the AI providers, your input data is not retained or used for their own purposes beyond fulfilling your request. For example, Perplexity maintains a zero data retention policy for its API - it does not store any prompt content or use it to train models. Google's Gemini service similarly does not use your prompts or the AI's responses to train its models. We have agreements or rely on the providers' public policies to ensure your data remains confidential when processed by these AI engines. Other Processors: In the course of providing the Service, we may use additional third-party tools for purposes such as email delivery, customer support, or cloud hosting. For example, if we send you transactional emails (like a welcome email or password reset), it might be sent via an email sending service. We will maintain an updated list of significant sub-processors in our Privacy Policy.

We carefully select our third-party service providers and strive to ensure they have data protection measures in place. Each provider processes data under its own privacy terms and is contractually required to protect your information to at least the same standards we do. However, we do not control third-party services and so we are not liable for their acts or omissions. Your use of those services (for example, making a payment through Paddle, or visiting a link generated by Google) may be governed by the terms of use and privacy policies of those third parties.

7. Disclaimer of Warranties

Use at Your Own Risk: IdealistMode is an innovative AI platform and we strive for high quality and accuracy. However, the Service is provided 'as is' and 'as available', without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

In particular, while our AI aims to provide useful insights, we do not guarantee the correctness, completeness, or usefulness of any output or information you obtain through the Service. AI-generated content may occasionally be inaccurate or misleading. You should independently verify important advice or results before relying on them for critical decisions. IdealistMode does not warrant that the Service will lead to successful business outcomes or that any advice provided will be suitable for your situation.

Service Availability: We do not warrant that the Service will be uninterrupted, error-free, or completely secure. Occasional downtime for maintenance or technical issues may occur. We will make reasonable efforts to maintain the availability of the Service but provide no guarantee as to uptime or functionality in all circumstances.

No Responsibility for Third-Party Content: Any third-party content or links (including information from cited sources in generated reports, if provided) are not endorsed or verified by us. We are not responsible for content provided by third parties through the Service or any actions you take in reliance on that content.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any implied warranties are limited to the minimum scope and period permitted by law.

8. Limitation of Liability

Limited Liability: To the fullest extent permitted by applicable law, IdealistMode (and its owner/operator) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of (or inability to use) the Service. This includes, without limitation, any lost profits, lost data, business interruption, or any other intangible losses, even if we have been advised of the possibility of such damages.

Cap on Liability: In no event will our total cumulative liability for all claims arising from or related to the Service exceed the amount you have paid to us in subscription fees in the twelve (12) months immediately prior to the event giving rise to the liability. If you have not paid any amount (for example, if you are using a free trial or free tier), our total liability shall not exceed $50 (USD) or the minimum amount permitted by law.

This limitation of liability applies to any theory of liability, whether based on warranty, contract, tort (including negligence), consumer protection statute, or any other legal theory.

Exceptions: Nothing in these Terms shall limit or exclude our liability for any liability that cannot be limited or excluded by law, such as liability for gross negligence, willful misconduct, or personal injury caused by our proven negligence. Additionally, because some jurisdictions do not allow the exclusion or limitation of certain damages, the above limitations may not apply to you in full. In such jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless IdealistMode and its owner, affiliates, agents, partners, and employees from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) that arise out of or relate to your use of the Service, your violation of these Terms, or your violation of any rights of a third party (such as intellectual property or privacy rights).

This means you will compensate us for any loss or damage we suffer because of something you did (or failed to do) that was unlawful or violated these Terms. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in defending such matter. This indemnity obligation will survive the termination or expiration of these Terms and your use of the Service.

10. Termination and Suspension

By You: You may stop using IdealistMode at any time. You may also delete your account or cancel your subscription as described in Section 4. If you wish to terminate your account and these Terms, you may do so by discontinuing use of the Service and, if applicable, contacting us to confirm account deletion. Keep in mind that termination of your account will result in loss of access to the Service and deletion of your data (as described in our Privacy Policy's data retention section).

By Us: We reserve the right to suspend or terminate your access to the Service (in whole or in part) under the following circumstances:

  • If you breach any provision of these Terms or violate applicable law while using the Service;
  • If you fail to pay any fees owed for the Service on time;
  • If we suspect you are using the Service in a manner that is fraudulent, abusive, or that may harm other users, our systems, or third parties;
  • If required by law enforcement or government order, or due to unforeseen technical or security issues.

In most cases, we will attempt to provide notice and an opportunity to cure a violation (if possible) before terminating an account. However, in serious or urgent cases, we may suspend or terminate immediately without notice.

Effect of Termination: Upon termination of your account, your right to use the Service will cease immediately. We will deactivate or delete your account and all associated data, except to the extent we are obliged or permitted to retain certain data under applicable law (see Privacy Policy for more on data deletion). If your access is terminated due to a breach of these Terms, you are not entitled to any refund of fees paid. Sections of these Terms that by their nature should survive termination (such as accrued payment obligations, disclaimers, limitations of liability, indemnity, and governing law) will remain in effect.

11. Changes to the Terms

We may update or modify these Terms of Service from time to time. If we make material changes, we will notify users by posting the revised Terms on our website and updating the 'Last updated' date at the top, and/or by sending an email notification or in-app notice. Material changes will usually become effective at least 14 days after posting the updated Terms, except that changes addressing new functions of the Service or changes made for legal reasons may be effective immediately.

Your continued use of the Service after any changes to the Terms take effect constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service before the changes become effective. We encourage you to review these Terms periodically for any updates.

12. Governing Law and Dispute Resolution

Governing Law: These Terms of Service and any dispute or claim arising out of or in connection with the Service shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles. This choice of law means that the laws of Ukraine (for example, civil code and consumer protection laws) will apply to the interpretation and enforcement of these Terms, as well as to any disputes between you and us.

International Users: We provide the Service from Ukraine, and we make no representations or warranties that the Service is appropriate or available for use in other jurisdictions. If you access or use IdealistMode from outside Ukraine, you do so at your own risk and are responsible for compliance with local laws. Note that you may have additional rights under the mandatory consumer protection laws of your country of residence; nothing in these Terms is intended to limit your non-waivable rights under local law (for example, certain warranty rights or cooling-off rights for EEA consumers, as discussed).

Dispute Resolution Venue: Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service that cannot be resolved amicably shall be resolved exclusively in the courts of Ukraine. Unless another venue is required by applicable mandatory law, you and IdealistMode consent to the jurisdiction of the competent courts located in Ukraine for the resolution of any such disputes. We reserve the right to alternatively agree with you on an appropriate dispute resolution process on a case-by-case basis (for instance, arbitration or small claims court), but in the absence of such agreement, Ukrainian courts will be the default forum.

You agree that any claim or cause of action you have against us must be brought individually and not as a plaintiff or class member in any class, collective, or representative action.

13. Miscellaneous

Entire Agreement: These Terms (together with our Privacy Policy and any other policies or guidelines incorporated by reference) constitute the entire agreement between you and us regarding the Service, and supersede all prior agreements, understandings, or communications (whether written or oral) relating to the subject matter.

No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by us.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

Assignment: You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms or any rights hereunder to any successor or any person or entity acquiring our business or assets related to the Service.

Relationship: Nothing in these Terms shall be deemed to create any joint venture, partnership, agency, or employment relationship between you and us. You and IdealistMode are independent contractors.

Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect.
